1. About these terms
These Terms of Service apply to all services supplied by A&R Tamir Pty Ltd (ABN 78 702 540 645), trading in Perth, Western Australia (“we”, “us”, “our”). By requesting a quote, accepting a proposal, or engaging us to perform work, you (“you”, “the client”) accept these terms. If any part of these terms conflicts with a signed engagement letter or written proposal agreed between us, the signed document will prevail to the extent of the conflict.
2. Our services
We provide trading and business services, which may include sourcing and supply coordination, procurement support, administrative and operational assistance, and related advisory work. The exact scope of services for your engagement will be described in your written quote or proposal. Work outside that agreed scope will be quoted separately before it begins.
3. Quotes and engagement
- Quotes are provided in writing (including by email) and are valid for 30 days unless otherwise stated.
- A quote is an estimate based on the information available at the time. If the scope changes, or information provided proves incomplete or inaccurate, we will advise you and provide a revised quote before proceeding.
- An engagement begins when you accept a quote in writing, or when we commence work at your request, whichever occurs first.
- Any estimated timeframes are made in good faith but are not guaranteed. We will notify you promptly of any likely delay.
4. Fees, payment and GST
- All amounts are stated in Australian dollars (AUD).
- Unless otherwise stated, quotes are exclusive of GST. GST is payable in addition at the prevailing rate, and tax invoices will be issued accordingly.
- Payment terms are 14 days from the date of invoice unless your proposal states otherwise.
- We may require a deposit or progress payments for larger engagements; these will be set out in your quote.
- If an invoice remains unpaid beyond its due date, we may suspend services and recover reasonable costs of collection.
5. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded.
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with our services, you are entitled to cancel your engagement with us; for major failures with services you have paid for, you are entitled to a replacement of the services, a refund of the amount paid, or compensation for any other reasonably foreseeable loss or damage. For other failures, you are entitled to have the issues rectified in a reasonable time.
To the extent permitted by law, our liability for a failure to comply with a consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.
6. Your responsibilities
- You agree to provide accurate, complete and timely information reasonably required for us to perform the services.
- You confirm you have the authority to engage us and to provide any materials, documentation or access you supply to us.
- Delays caused by missing information, approvals or third parties may affect timeframes and, where reasonably incurred, costs.
7. Limitation of liability
To the fullest extent permitted by law, and subject to clause 5 (Australian Consumer Law), we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or business opportunity, arising from the services. Where liability cannot be excluded, our total aggregate liability is limited to the fees paid by you for the specific service giving rise to the claim. This clause does not apply to liability that cannot be limited by law.
8. Intellectual property
Upon full payment, you own the final deliverables prepared specifically for you under the engagement. We retain ownership of our pre-existing materials, templates, tools and know-how, and of any general knowledge and skills developed in the course of providing services. You grant us a limited licence to use materials you supply solely for the purpose of performing the services.
9. Confidentiality
Each party will keep confidential the non-public business information of the other party, use it only for the purposes of the engagement, and protect it with reasonable care. This obligation survives the completion or termination of the engagement, except where information is or becomes publicly available through no breach, or disclosure is required by law.
10. Privacy
We handle personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. By engaging us, you consent to the collection, use and handling of personal information as described there.
11. Suspension and termination
- Either party may terminate an ongoing engagement by giving 14 days’ written notice.
- Either party may terminate immediately if the other party materially breaches these terms and fails to remedy the breach within 7 days of written notice, or becomes insolvent.
- On termination, you must pay for all services performed and reasonable costs incurred up to the date of termination.
12. Dispute resolution
If a dispute arises, please contact us first at ceo@aandrtamir.site. Both parties agree to attempt to resolve the dispute in good faith through direct discussion for at least 30 days before commencing formal proceedings, except where urgent relief is required.
13. Governing law
These terms are governed by the laws of Western Australia and the Commonwealth of Australia. The parties submit to the jurisdiction of the courts of Western Australia.
14. Changes to these terms
We may update these terms from time to time. The current version will always be published on this page with a revised “last updated” date. The terms in force at the time you accept a quote will apply to that engagement.
